California AG Rob Bonta Defends Paramount Settlement

California Attorney General Rob Bonta recently addressed the settlement related to Paramount’s $111 billion merger with Warner Bros. Discovery. The merger faced an antitrust challenge, and the timing of the settlement has drawn attention.

Bonta clarified that keeping the company in Hollywood did not influence the settlement timing. He emphasized that the focus was purely on antitrust concerns. Despite earlier ambivalence, Bonta stated that demands and conditions were necessary for the agreement.

The settlement still requires judicial approval. It aims to resolve a lawsuit from 12 states attempting to block the merger. A significant feature of the agreement is the establishment of an editorial board. This board is tasked with preserving the independence of CNN and CBS News.

Bonta assured that neither California nor any government entity would influence the board. He stated that the board members would be experienced journalists committed to independence, objectivity, and fairness. Standards for board selection were part of the settlement negotiations to ensure autonomy.

An auditor will oversee compliance, and states retain the right to return to court if Paramount does not adhere to the consent decree terms.

However, the settlement has faced criticism. Connecticut Attorney General William Tong expressed disappointment, advocating for the full divestiture of CNN and CBS News. Critics argue that the settlement does not adequately address media consolidation, job security concerns, or the effectiveness of editorial safeguards.
